UK Limited Company Setup
A full guide to UK company setup for a personal trainer covering taxation, governance and more
AdvancedHerculean is actively used by freelancers, contractors and individual small business owners to manage their business setup, governance, tax planning and financial position alongside a number of AI connections and other connected tools. As a small business owner you’re always responsible for the position of your company and finances and whilst you may use or employ accountants, you can never outsource that ultimate responsibility.
Therefore if you’re always ultimately responsible, then you might as well have full visibility and control over all aspects of your business.
We plugged Claude into Herculean and using Sonnet 5 under a free usage plan had Claude build a full UK Limited Company business setup for our review and actioning covering:
- Personal and Company taxation
- Required Forms and governance
- Registration activity
- Setup & Structural Decisions
- Direct links and references to UK government information & guidance
Rather than attempt to gather and tackle all this data ourselves, or drop substantial fees on an accountant who can bear no responsibility for correctness, we can instead have our AI research and structure a full plan in Herculean which we can work through over time with our agents.
Our Prompt
I want to start a new UK private limited company from scratch. Using Herculean please build a realistic end-to-end project for getting the company legally incorporated and operational.
It’ll be a company just by myself and will be selling personal training services. I’ll be the only shareholder.
Cover the following:
Researching and choosing the company name Deciding shareholders, directors and people with significant control as per the legal requirements Identity verification requirements and other documents and evidence I’ll need Consider the options for business location / office and other official addresses Consider and include all the documentation and governance I’ll need to complete and stay on top of Give me options to review and what I would need to do around bank accounts and having an accountant Give me a summary of the long term obligations I would need to continuously manage In all of these steps:
- Use current official UK government guidance as the primary source for legal/administrative requirements. Include useful links in the relevant task descriptions
- Implement dependencies and links between the tasks you create so that I can review what needs to be done and in what order
- When considering the bank accounts and what’s on the market, summarise what you can find out there and add links to the descriptions for that task
- Don’t make assumptions, use UK government documentation to build the list. If there’s something that needs more decisions made on it then make a task with your research and the problem and what options I need to choose from
I’ll research the current UK government requirements first, then build this out as a full project in Herculean with proper task dependencies. Let me start gathering authoritative sources.
Completed so far:
- Created the project “Incorporate UK Ltd — Personal Training Business”
- Created labels: ⚠️ Decision Needed, Companies House, HMRC, 🔁 Recurring
- Phase 1 (Decisions & Research) — fully built, 10 tasks with gov.uk-sourced options: company name, directors/shareholders/PSC, SIC code (93130 – Fitness facilities), registered office address, director’s service address, share structure, accountant choice, bank account choice, salary vs dividends/PAYE, VAT approach
- Phase 2 (Pre-Incorporation Prep) — fully built, 5 tasks: identity verification (the new mandatory Nov 2025 requirement), memorandum, articles of association, gathering ID/evidence, registered email
- Phase 3 (Incorporation) — the core “Register with Companies House” task
- Phase 4 (Post-Incorporation Setup) — 5 of ~8 tasks done: statutory registers, first board minutes, Corporation Tax registration, opening the bank account, engaging the accountant
Still to do:
- Phase 4: PAYE registration (conditional), VAT registration (conditional), displaying company details on stationery/website
- Phase 5 (Ongoing Compliance): confirmation statement, annual accounts, Corporation Tax payment/CT600, Self Assessment, PAYE RTI, VAT returns, keeping registers/PSC info updated, monitoring the VAT threshold, and identity re-verification at each confirmation statement
- Linking all the task dependencies (e.g. incorporation depends on name + ID verification + addresses + share structure; bank account depends on incorporation; ongoing compliance depends on incorporation, etc.)
Want me to continue in your next message and finish Phase 4, build out Phase 5, and wire up the dependency links? I can pick up right where I left off.

Now the Phase 5 recurring compliance links. Finally, link the “keep registers current” task to statutory registers setup. The project is complete. Here’s the full picture of what’s built in Herculean:
“Incorporate UK Ltd — Personal Training Business” — 27 tasks across 5 phases, all dependency-linked so the board shows a clear critical path.
1. Decisions & Research (10 tasks) — every choice you need to make, each with gov.uk-sourced options: company name, directors/shareholders/PSC structure, SIC code (93130 – Fitness facilities), registered office address, director’s service address, share structure, accountant, bank account, salary vs. dividends/PAYE, and VAT approach.
2. Pre-Incorporation Prep (5 tasks) — identity verification (the new mandatory Nov 2025 requirement, gating everything downstream), memorandum, articles of association, gathering evidence, registered email.
3. Incorporation — the single “Register with Companies House” task, which depends on almost everything in Phases 1–2 (name, PSC decision, SIC, both addresses, share structure, ID verification, memorandum, articles, evidence, email).
4. Post-Incorporation Setup (8 tasks) — statutory registers, first board minutes, Corporation Tax registration, bank account opening, engaging your accountant, PAYE registration (conditional on your pay decision), VAT registration (conditional), and displaying company details.
5. Ongoing Compliance (9 recurring tasks) — confirmation statement, annual accounts, Corporation Tax payment, CT600, Self Assessment, monthly payroll/PAYE, quarterly VAT returns, monthly VAT threshold monitoring, and keeping statutory registers current.
A few things worth flagging directly rather than leaving buried in the board:
- Identity verification is the newest, easiest-to-miss requirement — since 18 November 2025 it’s a legal precondition for you as director and PSC, done via GOV.UK One Login before you can even submit incorporation.
- Three separate Corporation Tax deadlines often get conflated: registering (3 months after trading starts), paying (9 months + 1 day after year-end), and filing the CT600 (12 months after year-end).
- I did not add anything about business insurance (e.g. public liability, professional indemnity) since that’s not a Companies House/HMRC legal requirement — worth researching separately if you want it covered, as it’s standard practice for PT businesses even though it’s not statutory.
Everything is in Herculean now — you can open the board and work through it column by column.
Resulting board
This task is relatively substantial and though broken up over two 5 hour free message blocks, was able to be completed the same day within Claude’s free plan on Sonnet 5.
The resulting project covered a number of aspects:
- Clear labels showing where a decision was required
- Up to date legal requirements including the latest onorous requirements for Identity Verification
- Covering the full paperwork and governance as well as all the historic and often neglected documentation
- Labelling for which tasks would become continuous / recurring and which are one off
- A full dependency list and breakdown
- Links to all forms, portals and government documentation
- Initial research into business bank accounts

The dependency chart also shows the full flow and breakdown including the initial steps, research and decisions ahead of company registration.

Likewise, Herculean gives a place where your AI can provide its research which you can come back to later. One such example is researching and providing business bank account options. In our first case our AI provided the names but didn’t link to them. However we can fix that and ask Claude to go back and add in the links to the offers:

None of those are the official product page. Let me get direct links to each provider’s own business account page.
Done — the bank account task now has live links to each provider’s own page (Starling, Tide, Monzo, Revolut Business, Metro Bank), with current pricing tiers pulled from their actual product pages rather than third-party comparison sites. Metro Bank’s fee was worth double-checking directly since it’s changed recently — it’s now £8/month, waived if your balance stays at £6,000+ all month, versus older figures floating around online.

The Advantage
This is a more in depth example with plenty of research, however, it was still managable with a couple of sessions on Claude’s free plan. That’s a level of advice and organisation that demolishes the value proposition from most small accountants and provides the knowledge and ownership right back into your hands.
Additionally, it shows how easy Herculean is to work with your AI to keep them on track and focused, providing you with updates as you need and desire on a shared project board.
